Board committees

Remuneration Committee

The Remuneration Committee’s main duty is to represent the Board on matters concerning
remuneration and terms of employment of the President and other senior executives based on
the guidelines for remuneration and terms of employment of the President and other senior
executives adopted by the AGM. The Committee reports on its work to the Board regularly.

Audit Committee

The Audit Committee’s main duty is to monitor procedures governing Addnode Group’s financial
reporting and internal controls in order to ensure the quality of external reporting.
The Audit Committee’s duties include:

• Reviewing the financial statements and addressing accounting issues that impact the
  quality of the company’s financial reporting.
• Monitoring the effectiveness of internal controls over financial reporting, including risk
  management. Supervising the audit and evaluating the work of the auditors.
• Evaluating auditor objectivity and independence.
• Assisting the Nomination Committee.
